Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Magnate360 CRM platform operated by Magnate360 Systems Inc. ("Magnate360," "we," "us," or "our"), including magnate360.com, app.magnate360.com, and all related services, APIs, and mobile applications.

By creating an account or using Magnate360, you agree to these Terms. If you do not agree, do not use the platform.

1. Eligibility

To use Magnate360, you must:

• Be at least 18 years of age
• Be a licensed real estate professional in good standing with your regulatory authority or an authorized team member of a licensed realtor
• Provide accurate and complete registration information, including your legal name and a valid email address
• Have the authority to bind the entity on whose behalf you are using the platform, if applicable

We reserve the right to verify your real estate license status and may suspend or terminate accounts that cannot provide proof of licensure upon request.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:

• Use a strong, unique password and enable two-factor authentication when available
• Notify us immediately at security@magnate360.com if you suspect unauthorized access to your account
• Not share your account credentials with anyone or allow others to access your account
• Keep your account information accurate and up to date

Magnate360 is not liable for any loss or damage arising from unauthorized use of your account.

3. Acceptable Use

You agree not to use Magnate360 to:

• Send unsolicited commercial emails in violation of applicable anti-spam laws
• Store, transmit, or process personal information in violation of applicable privacy legislation
• Upload, distribute, or transmit malware, viruses, or any code designed to disrupt the platform
• Attempt to reverse engineer, decompile, or disassemble any part of the Magnate platform
• Scrape, crawl, or use automated tools to extract data from the platform without written authorization
• Impersonate another person, realtor, or brokerage, or misrepresent your affiliation
• Use the platform for any purpose that is unlawful under applicable law
• Share or resell access to your Magnate360 account or features beyond your subscription plan

Violation of these terms may result in immediate suspension or termination of your account without refund.

4. AI-Generated Content

Magnate360 uses artificial intelligence (powered by Anthropic's Claude) to generate MLS remarks, email content, property descriptions, social media captions, and other marketing materials.

You acknowledge and agree that:

• Review required. All AI-generated content is a draft. You must review, edit, and approve all AI content before publishing or sending. You are solely responsible for the accuracy and compliance of any content you publish.
• No guarantee of accuracy. AI may produce incorrect, incomplete, or misleading content. Magnate360 is not responsible for errors in AI-generated text, including property descriptions, pricing, or legal statements.
• Regulatory compliance is your responsibility. You must ensure that all published content complies with your regulatory authority's advertising rules, your board's MLS rules, and any applicable regulations. AI content is not legal, tax, or financial advice.
• Ownership.You own the final content you create using Magnate360's AI tools, subject to Anthropic's usage policies. Magnate retains no ownership of content you generate.

5. Third-Party Integrations

Magnate360 integrates with third-party services including Google Calendar, Twilio (SMS), Resend (email delivery), and various government data sources. These integrations are provided for your convenience.

• Third-party services are governed by their own terms of service and privacy policies
• We are not responsible for the availability, accuracy, or performance of third-party services
• You authorize Magnate360 to access these services on your behalf when you connect an integration (e.g., granting Google Calendar access)
• You may disconnect integrations at any time from your account settings

Contract form generation uses standard form templates. Magnate360 auto-fills form fields from your listing data but does not provide legal advice. You must review all generated forms before use in a transaction.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• Magnate360 is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• We do not warrant that the platform will be uninterrupted, error-free, or secure
• In no event shall Magnate360's total liability exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
• We are not liable for regulatory penalties, fines, or sanctions arising from your use of the platform, including compliance violations

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

7. Subscription and Payment

Paid subscriptions are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

• Free trials provide full access to the Professional plan for 14 days with no credit card required
• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period
• We do not offer refunds for partial months. If you cancel mid-cycle, you retain access until the end of your billing period
• We may change pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing

8. Termination

You may close your account at any time by contacting support@magnate360.com or using the account deletion feature in your settings.

We may suspend or terminate your account immediately if you:

• Violate these Terms of Use
• Use the platform for unlawful purposes
• Fail to pay subscription fees after notice
• Are found to not hold a valid real estate license

Upon termination, you may request an export of your data within 30 days. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy, except where retention is required by law.

9. Data Ownership

You retain full ownership of all data you input into Magnate360, including contacts, listings, documents, communications, and AI-generated content you have approved.

We do not claim ownership of your data. We use your data solely to provide the Magnate service as described in our Privacy Policy. We do not sell, rent, or share your data with third parties for their marketing purposes.

You grant Magnate360 a limited, non-exclusive license to process your data solely for the purpose of providing the service, including generating AI content, sending emails, and auto-filling forms.

10. Governing Law

These Terms are governed by applicable law in your jurisdiction. Any disputes arising from or related to these Terms shall be resolved through the appropriate legal channels in the jurisdiction where you are located.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before the changes take effect. Your continued use of Magnate360 after the effective date constitutes acceptance of the updated Terms.
